Terms of Service

1. Acceptance of Terms

By creating an account or accessing any part of the Specor platform ("Service"), you ("User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Service.

2. Description of Service

Specor is a Semantic Product Runtime — a SaaS platform that allows product teams to define, version, and structure product knowledge as a living semantic graph. The Service includes:

  • A graph-based product definition editor with branch and merge workflows.
  • AI-powered agents that analyze product consistency and generate suggestions.
  • Real-time collaboration across workspace members.
  • An MCP server for integrating product context with AI coding agents.
  • Organization and workspace management, access control, and audit history.

Specor reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable advance notice where practicable.

3. Accounts and Registration

  • You must be at least 18 years old to create an account.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You must provide accurate, current, and complete registration information.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at security@specor.ai if you suspect unauthorized access to your account.
  • Each account is personal and may not be shared. Organizations may purchase seat-based plans to grant access to multiple members.

4. Acceptable Use

You agree not to use the Service to:

  • Upload or transmit content that is unlawful, defamatory, abusive, or infringes third-party rights.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Conduct penetration testing or vulnerability scanning without prior written authorization.
  • Reverse-engineer, decompile, or disassemble any component of the Service except to the extent permitted by applicable law.
  • Use automated means to scrape, crawl, or extract data beyond what the API allows.
  • Resell or sublicense access to the Service without our written consent.
  • Circumvent usage limits, billing, or access controls.
  • Process personal data of minors under 13 without verifiable parental consent.

Violation of this section may result in immediate account suspension or termination.

5. Your Content

You retain all intellectual property rights in the content you upload or create within the Service ("User Content"). By using the Service, you grant Specor a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your User Content solely to provide the Service to you and your workspace members.

You represent and warrant that:

  • You own or have the right to use all User Content you submit.
  • Your User Content does not violate any third-party rights or applicable law.

Specor does not claim ownership over your User Content and will not use it to train AI models without your explicit consent.

6. AI-Powered Features

The Service includes AI agents that analyze your workspace content and generate suggestions. By using these features, you acknowledge that:

  • Workspace node content and AI chat messages may be sent to our AI sub-processors (currently Anthropic, PBC and OpenAI, L.L.C.) to generate responses. See our Privacy Policy §5 for details.
  • AI-generated suggestions are provided for informational purposes only and may be inaccurate.
  • You are solely responsible for reviewing and acting on any AI-generated content.
  • Specor makes no warranty regarding the accuracy, completeness, or fitness of AI suggestions.

7. Subscriptions and Billing

Paid plans are available on a subscription basis, billed in advance. Payments are processed securely by Stripe, Inc.

  • Seat-based billing: Plans are priced per seat. You may add or remove seats at any time; charges are prorated.
  • No refunds: All charges are non-refundable except where required by applicable law. If you downgrade or cancel, your plan remains active until the end of the current billing period.
  • Failed payments: If a payment fails, we will attempt to retry for up to 7 days. Continued failure may result in plan downgrade or account suspension.
  • Price changes: We will notify you at least 30 days before any price change takes effect. Your continued use after the effective date constitutes acceptance.
  • Taxes: Prices are exclusive of taxes. You are responsible for any applicable VAT, GST, or other taxes in your jurisdiction.

8. Privacy and Data Processing

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in that policy. For enterprise customers requiring a Data Processing Agreement (DPA), contact privacy@specor.ai.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specor does not warrant that (a) the Service will be uninterrupted or error-free, (b) defects will be corrected, (c) the Service or its servers are free of viruses, or (d) AI-generated content is accurate or reliable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPECOR OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SPECOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SPECOR IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Specor and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your violation of these Terms or your User Content.

12. Termination

  • By you: You may cancel your account at any time from Account → Danger Zone. Your data will be permanently deleted within 30 days.
  • By Specor: We may suspend or terminate your account immediately if you materially breach these Terms, if required by law, or if continued operation poses a security risk. Where practicable, we will provide advance notice and an opportunity to cure.
  • Effect of termination: On termination, your right to access the Service ceases. Provisions that by their nature should survive (intellectual property, disclaimers, limitation of liability, governing law) will survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms will be resolved by binding arbitration in accordance with the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

If you are located in the European Union, you may also have the right to bring a claim before the courts of your country of residence.

14. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Specor regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in full force.
  • No waiver: Failure to enforce any right or provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our written consent. Specor may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure: Neither party will be liable for delays caused by circumstances beyond their reasonable control.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the in-app notification system and by email at least 30 days before taking effect. The version number and last-updated date at the top of this page will always reflect the current Terms. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
